mSLA v2.0 - Software License Agreement

This Software License Agreement (the "Agreement") is entered into by and between Kyronis (the "Licensor") and the recipient of the software (the "Licensee").

Grant of License

The Licensor hereby grants the Licensee a non-exclusive, worldwide, royalty-free license to use, modify, and distribute the software (the "Software") for non-commercial purposes, subject to the terms and conditions of this Agreement.

Limitations

Liability: To the maximum extent permitted by applicable law, the Licensor shall not be liable for any damages or losses incurred by the Licensee arising out of the use, modification, or distribution of the Software. This includes, but is not limited to, direct, indirect, incidental, special, or consequential damages, and loss of data, even if advised of the possibility of such damages.
Warranty: The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Commercial Use

The Licensee is strictly prohibited from using the Software, or any modified version thereof, for commercial purposes without obtaining prior written consent from the Licensor. This includes, but is not limited to, selling, sublicensing, integrating the Software into a commercial product, or using the Software to provide commercial services.

Conditions

License and Copyright Notice: The Licensee must include a copy of this Agreement and the copyright notice provided by the Licensor with every distribution of the Software, whether in source code or compiled form.
State Changes: Any modifications made to the Software by the Licensee must be clearly indicated. Modified versions may not use the name, trademarks, or branding of the Licensor unless explicitly authorized.
Disclose Source: If the Licensee distributes the Software, whether in source code or compiled form, the Licensee must make the source code of the distributed version publicly accessible unless explicitly exempted in writing by the Licensor.

Termination

This Agreement shall remain in effect until terminated. The Licensor may terminate this Agreement at any time if the Licensee fails to comply with any of the terms and conditions herein. Upon termination, the Licensee must immediately cease all use, modification, and distribution of the Software and delete all copies in their possession.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Germany. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Germany.

By downloading, installing, using, modifying, or distributing the Software, the Licensee accepts and agrees to the terms and conditions of this Agreement.
